A derivative action is a claim brought by a shareholder on behalf of the company when the company itself fails to enforce a legal right.

Section 140 permits a shareholder holding at least 2.5% of paid-up capital to bring a qualifying action on behalf of the company. Multiple shareholders can also act together if they meet the collective statutory threshold.
The shareholder must explain what efforts were made to have the company itself bring the claim.
