How long does company registration take in Nepal?

The Companies Act, 2063 provides that OCR should register a company within seven days after a proper incorporation application is filed, following the necessary examination and payment of the prescribed fee.

However, this should not be presented as a guaranteed seven-day completion time in every case. Name approval, incomplete documents, amendments requested by OCR, identity verification, sector-specific approval and foreign-investment requirements can extend the overall process.

What can affect processing time?

Common causes include:

  • a proposed name being too similar to an existing company or trademark;
  • unclear or legally restricted business objectives;
  • missing or inconsistent founder information;
  • defective Memorandum or Articles;
  • pending prior approval from another regulator;
  • foreign-investment documentation;
  • requests for correction or clarification.
