A company in Nepal is registered through the Office of Company Registrar (OCR). The process is now handled electronically through OCR's Company Administration Management Information System (CAMIS). In broad terms, an applicant creates a CAMIS account, applies for approval of the proposed company name and objectives, prepares the required incorporation documents, submits the registration application, completes any required verification, and pays the applicable government fee.
Under section 5 of the Companies Act, 2063, OCR is required to register a company within seven days after receiving a proper application, after carrying out the necessary examination and collecting the prescribed fee. This is a statutory timeframe, not a guarantee that every application will be completed within seven calendar days if documents are incomplete, corrections are required, a regulated activity needs prior approval, or verification is pending.
Basic registration flow
- Create or access a CAMIS account.
- Check and propose a company name.
- State the company's proposed objectives.
- Obtain name approval.
- Prepare the Memorandum of Association and, where required, Articles of Association.
- Upload founder/shareholder identification and supporting documents.
- Provide any prior licence or approval required for a regulated activity.
- Complete identity or signature verification required by OCR.
- Pay the applicable registration fee.
- Obtain the certificate of incorporation and approved constitutional documents.
Important distinction
Company incorporation does not necessarily authorize every business activity. Depending on the proposed business, the company may also need tax registration, industry registration, sector-specific licensing, local-level registration or foreign-investment approval.
