The Civil Code contains default rules for performance where the contract does not fully specify time, manner or place. The nature of the obligation and what is reasonable in the circumstances become important.[1]
Businesses should nevertheless state delivery dates, payment dates, milestones and acceptance periods expressly to reduce uncertainty.
